Our Approach
A Disciplined Approach to International Business.
General Process
How transactions typically progress
Every transaction is different. The sequences below describe our general approach and are not a mandatory procedure; the steps, their order and the documents involved depend on the particular opportunity and counterparties.
Commodities
- 01
Initial enquiry and requirement review
We establish the product, specification, quantity, destination, timing and commercial parameters.
- 02
Commercial assessment
We assess whether the requirement is commercially viable and where it may be met.
- 03
Appropriate confidentiality arrangements
Where suitable, confidentiality and non-circumvention agreements are put in place.
- 04
Counterparty engagement and due diligence
Parties are introduced and verified, including identity, standing and compliance checks.
- 05
Review of commercial offers and documentation
Offers, specifications and supporting documents are reviewed carefully.
- 06
Negotiation and transaction coordination
We support negotiation and coordinate communication toward agreed contractual terms.
Property
- 01
Acquisition or disposal requirements
We define the investor's criteria or the owner's objectives in detail.
- 02
Opportunity identification
We identify assets or investors that may match those requirements.
- 03
Preliminary commercial assessment
We consider the headline commercial merits before information is exchanged.
- 04
Information exchange and due diligence
Information is shared under appropriate confidentiality and reviewed by the parties.
- 05
Counterparty discussions
We facilitate discussions between principals and their advisers.
- 06
Transaction progression
We help coordinate the steps toward exchange and completion.
Instruments & Documents
Used only where commercially appropriate.
Depending on the transaction, parties may use instruments such as non-disclosure and non-circumvention agreements, letters of intent (LOI), soft and full corporate offers (SCO / FCO), irrevocable corporate purchase orders (ICPO), sale and purchase agreements (SPA) and letters of credit or other payment instruments.
These instruments are used only where commercially appropriate and agreed between the parties. Their mention here does not imply that any standard sequence is required for every transaction.
